These Terms and Conditions (“Terms”) govern access to and use of the websites, online learning platforms, courses, continuing education programs, digital materials, certificates, and related educational services provided by Golden Nuggets LLC, doing business as Golden Nuggets Continuing Education, Flash Acu CEUs, Massage CEs, and other Golden Nuggets LLC educational brands (“Golden Nuggets,” “Company,” “we,” “us,” “professional education” or “our”).
By accessing our Website, creating an account, purchasing a course or bundle, accessing course materials, or otherwise using our educational products or services, you acknowledge that you have read and agree to these Terms.
If you do not agree to these Terms, please do not purchase, access, or use our courses, Website, or educational products.
1. Definitions
For purposes of these Terms:
“Account” means the individual user account used to access courses, educational materials, certificates, and related services.
“Content” means course materials, text, graphics, images, audio, video, presentations, manuals, downloads, quizzes, examinations, certificates, demonstrations, and other educational materials provided through our Website or learning platforms.
“Course” means an educational course, continuing education activity, program, bundle, or other educational product offered by Golden Nuggets LLC.
“Services” means our Courses, Websites, learning platforms, educational products, certificate services, continuing education reporting services, customer support, and related services.
“Website” includes websites and online learning environments operated by or on behalf of Golden Nuggets LLC.
“User,” “Student,” or “you” means an individual accessing or using our Website, Courses, Content, or Services.
2. Eligibility & Professional Information
Courses may be offered to:
Licensed acupuncturists
Licensed massage therapists
Dietitians and other licensed or credentialed healthcare professionals
Students enrolled in applicable professional education programs
Healthcare professionals seeking continuing education
Members of the general public participating in non-credentialed educational courses, including dietary, acupressure, wellness, and pain-management educational programs
You are responsible for providing accurate and truthful information regarding your identity, professional license, certification, registration, enrollment status, and credentials.
Certain Courses may have additional eligibility requirements based on the requirements of a licensing board, credentialing organization, approval body, or other regulatory authority.
3. Age Requirements
You must be at least 18 years old to independently purchase Courses or create an Account involving payment.
Individuals under 18 may use eligible educational Services only with the permission and supervision of a parent or legal guardian, unless otherwise prohibited.
4. Account Responsibility & Security
You are responsible for maintaining the confidentiality and security of your Account credentials and for activity occurring through your Account.
Accounts and Course access are intended for the registered user only and may not be shared, sold, transferred, or made available to another person.
If you believe your Account has been accessed without authorization, contact us promptly.
Golden Nuggets LLC may use account login records, course activity, assessment records, platform analytics, timestamps, completion records, and other reasonably available system records to verify enrollment, participation, Course access, and completion in connection with certification, reporting, refunds, chargebacks, fraud investigations, or disputes, subject to applicable privacy laws and our Privacy Policy.
5. Individual Course License
Purchasing a Course or bundle grants you a limited, revocable, non-exclusive, non-transferable, single-user license to access the applicable educational Content for your personal educational and professional-development use, unless otherwise expressly stated in writing.
Purchase does not transfer ownership of Course Content or intellectual property.
You may not share, reproduce, sell, sublicense, distribute, publish, upload, transmit, or provide another person with access to Course materials, videos, assessments, downloads, certificates, or Account credentials except as expressly permitted by law or authorized by Golden Nuggets LLC.
6. Digital Educational Products
Our Courses and educational materials are primarily digital products delivered electronically through websites, learning management systems, email, downloadable files, video platforms, or other electronic means.
Access to digital Content may begin immediately following purchase.
Because digital Course materials may be made available immediately, the refund limitations described in Section 14 apply.
7. Continuing Education Terminology
Depending on the profession, licensing authority, credentialing organization, or approval body, educational credit may be described as:

Or similar terminology
Use of any such term on our Website, Course descriptions, certificates, or educational materials refers to the applicable form of continuing education credit associated with that particular Course or approval.
Use of such terminology does not independently establish acceptance by any licensing board, credentialing organization, or regulatory authority.
8. Course Approval Information
When a Course is represented as approved, accepted, registered, recognized, reported, or eligible for credit by a particular licensing board, credentialing organization, continuing education system, or other approval authority, that representation applies only to the specific Course, profession, jurisdiction, approval period, credit category, and conditions identified in the applicable Course description or approval.
Approval or registration of one Course does not mean that every Golden Nuggets LLC Course is approved by the same organization.
Course approval numbers, provider numbers, credit categories, classifications, approval periods, and reporting requirements may vary by Course, profession, and jurisdiction.
9. Student Responsibility for Licensure Requirements
Continuing education requirements vary by profession, state, jurisdiction, licensing board, credentialing organization, license type, renewal period, and individual circumstances.
You are responsible for confirming that a Course satisfies your individual continuing education, certification, or license-renewal requirements before purchasing or completing it.
Golden Nuggets LLC endeavors to provide accurate and current Course approval and licensing information. However, laws, licensing requirements, board policies, interpretations, approval standards, and renewal requirements may change.
Unless otherwise required by applicable law, a subsequent change in licensing requirements or a licensing authority's decision not to accept a Course does not automatically create a right to a refund after Course access or completion.
10. No Guarantee of Board Acceptance or License Renewal
Licensing boards, credentialing organizations, professional associations, reporting services, and governmental authorities operate independently from Golden Nuggets LLC.
Golden Nuggets LLC cannot control and does not guarantee:
Acceptance of continuing education credit by a particular licensing or credentialing authority
Issuance or renewal of a professional license
The outcome of a licensing or continuing education audit
A licensing authority's interpretation of continuing education rules
Acceptance of a particular credit category
Processing time by a licensing board or reporting service
Continued Course approval following regulatory changes
Changes to licensing or renewal requirements
A Course completion certificate documents completion of the applicable educational activity. A certificate does not, by itself, guarantee that a licensing or credentialing authority will accept the Course for a particular purpose.
11. Course Requirements & Completion
To receive continuing education credit or a completion certificate, you must satisfy the completion requirements established for the applicable Course.
Requirements may include:
Reviewing required Course materials
Completing instructional Content
Meeting participation requirements
Completing quizzes or examinations
Achieving a required passing score
Completing evaluations or attestations
Providing required professional license or credential information
Satisfying additional requirements imposed by an applicable approval authority
Golden Nuggets LLC may withhold a certificate or decline to report continuing education credit when Course requirements have not been satisfied or when there is reasonable evidence of fraud, identity misrepresentation, Account sharing, falsification, or failure to complete required educational activities.
12. Course Access Periods
Course access periods may vary by Course, bundle, platform, or program.
When a specific access period or completion deadline is stated at the time of purchase, that period applies.
Golden Nuggets LLC may reasonably modify Course access when necessary because of platform changes, Course retirement, regulatory requirements, approval expiration, security concerns, or other operational circumstances.
Licensing and credentialing deadlines remain the student's responsibility regardless of the period during which Course materials remain accessible.
13. Prices, Payments, Coupons & Promotions
You agree to pay the price and applicable charges displayed at the time of purchase.
Prices, Courses, bundles, coupons, promotions, and discounts may change without notice.
The price applicable to an accepted purchase is generally the price displayed when the order is placed, subject to correction of obvious pricing or technical errors and applicable law.
A later price reduction, sale, coupon, or promotional offer does not entitle a previous purchaser to a retroactive price adjustment unless expressly stated otherwise.
Coupons:
May have expiration dates or eligibility requirements
May be restricted to particular Courses or bundles
Have no cash value
Generally may not be combined unless expressly permitted
We may reject or cancel transactions reasonably suspected of involving fraud, unauthorized payment activity, coupon manipulation, automated purchasing, pricing-system abuse, or other improper activity.
14. Refund Policy for Digital Courses
Because digital Course access and educational materials may be delivered immediately after purchase, refunds are strictly limited.
Unless otherwise required by applicable law, a refund may be requested within 24 hours of purchase only when:
The Course has not been accessed;
No substantial digital Course material has been viewed or downloaded;
No certificate has been issued; and
No continuing education credit has been reported or submitted for reporting.
For bundles, a refund is available only when none of the included Courses has been accessed.
Once a Course has been accessed, substantially consumed, completed, certified, or submitted for continuing education reporting, the purchase is generally non-refundable.
Payment processors may retain transaction or processing fees that are not recoverable by Golden Nuggets LLC. Where permitted by law, such non-refundable processing fees may be deducted from an approved refund.
Nothing in this Refund Policy limits any refund, cancellation, or consumer right that cannot lawfully be waived.
15. Certificates
Certificates are issued based on information supplied by the student.
You are responsible for ensuring that your:
Legal name
License or credential number
Profession
Licensing jurisdiction
And other required information
are accurate.
You are responsible for retaining copies of your completion certificates and educational records for the period required by your licensing or credentialing authority.
16. Continuing Education Reporting
Some Courses may qualify for direct or facilitated reporting to organizations such as NCBAHM, NCBTMB, CE Broker, CDR, state licensing boards, or other credentialing and regulatory organizations.
Reporting availability varies by Course, profession, jurisdiction, and approval authority.
When reporting requires information that is not collected automatically through the learning platform, you are responsible for providing the requested information accurately and in a timely manner.
Required information may include:
Full legal name
License or certification number
Licensing state or jurisdiction
Profession
Date of birth or another identifier when lawfully required by the reporting authority
Failure to provide accurate and complete information may delay or prevent reporting.
17. Reporting Time & Corrections
Completion of a Course does not necessarily result in immediate posting to a licensing or credentialing database.
Golden Nuggets LLC may process continuing education reporting on a reasonable administrative schedule. Third-party licensing boards, credentialing organizations, and reporting services may require additional processing time outside our control.
You remain responsible for knowing your renewal deadline and completing Courses sufficiently in advance to allow for processing.
If information on a certificate or continuing education report is incorrect, contact Golden Nuggets LLC promptly.
We will reasonably assist with corrections when possible but cannot guarantee that a licensing board, credentialing organization, or third-party reporting service will permit a record to be changed after submission.
Any correction, withdrawal, acceptance, rejection, or modification of a continuing education record by a third-party organization is subject to that organization's own policies.
18. Intellectual Property
All Course Content and Website materials—including videos, manuals, presentations, graphics, illustrations, quizzes, examinations, certificates, downloads, written materials, demonstrations, trademarks, logos, and other educational materials—are owned by or licensed to Golden Nuggets LLC or their respective rights holders and are protected by applicable U.S. and international intellectual-property laws.
Your purchase grants only the limited educational license described in these Terms.
Except where expressly authorized by Golden Nuggets LLC or permitted by applicable law, you may not:
Copy or redistribute Course materials
Record or reproduce Course videos
Upload Course Content to another Website or platform
Resell Course materials
Share Account access
Create unauthorized derivative commercial products or Courses
Scrape or systematically extract protected Content
Use protected Course Content to train artificial-intelligence or machine-learning systems
Circumvent technological protections or access restrictions
Third-party trademarks, images, materials, and other intellectual property remain the property of their respective owners.
19. Educational & Medical Disclaimer
All Courses, videos, diagrams, demonstrations, written instructions, manuals, techniques, and educational materials are provided for educational and informational purposes.
Educational Content is not intended to diagnose, treat, cure, or prevent disease and is not a substitute for individualized medical care or professional medical advice.
Healthcare professionals remain responsible for exercising their own professional judgment and complying with the laws, ethical requirements, professional standards, and scope-of-practice limitations applicable to their profession.
Completion of a Course does not expand a participant's lawful scope of practice.
Some educational materials may demonstrate physical, manual, acupressure, acupuncture-related, dietary, herbal, movement, or other healthcare techniques.
You are responsible for determining whether and how to apply information learned through our Courses safely, appropriately, and within your professional training and lawful scope of practice.
20. Courses Available to the General Public
Certain Courses or educational products may be available to members of the general public.
Such Courses are educational and do not constitute individualized healthcare, diagnosis, or medical treatment.
Individuals with medical conditions should consult an appropriately licensed healthcare professional before attempting techniques or making health-related changes that could affect their condition.
21. No Professional Relationship
Accessing a Course, communicating with an instructor, or using educational Content does not establish a provider-patient, therapist-client, doctor-patient, instructor-patient, or other clinical professional relationship between you and Golden Nuggets LLC, its owners, instructors, employees, or contractors.
22. Prohibited Conduct
You may not:
Share or resell Accounts or Course access
Share, falsify, alter, transfer, or resell certificates
Copy, scrape, reproduce, or redistribute protected educational materials
Circumvent Course requirements or technological controls
Submit false identity, credential, or license information
Complete Course requirements on behalf of another person
Have another person complete Course requirements on your behalf
Manipulate assessments, completion records, pricing, coupons, refunds, certificates, or reporting systems
Use unauthorized automated systems to access or extract protected Content
Introduce malicious software or code
Attempt to disrupt, damage, overload, or interfere with our Websites, platforms, payment systems, or business operations
Impersonate Golden Nuggets LLC personnel, instructors, or another student
Use our communication systems for unauthorized spam, unlawful activity, harassment, threats, or fraudulent conduct
Material violations may result in suspension or termination of access.
23. Communications, Community Features & User Content
If a Website or Course provides comments, discussions, community areas, messaging, reviews, or other communication features, users must communicate lawfully and respectfully.
Users may not submit content that is unlawful, threatening, harassing, fraudulent, defamatory, intentionally deceptive, or otherwise violates applicable law or the rights of another person.
Reviews, testimonials, comments, and public statements should be truthful and based on actual experience.
Nothing in these Terms prohibits lawful consumer reviews, opinions, complaints, or good-faith feedback.
Golden Nuggets LLC may moderate or remove content when reasonably necessary to operate its Services, enforce these Terms, protect users, or comply with applicable law.
24. Fraud, Chargebacks & Abuse Prevention
Golden Nuggets LLC reserves the right to investigate transactions or Account activity that reasonably appears to involve:
Fraud
Unauthorized payment activity
Automated purchasing
Duplicate or abusive transactions
Coupon or pricing manipulation
False identity or licensing information
Account sharing
Certificate falsification
Chargeback abuse
Attempts to interfere with or financially harm the Company
We may suspend access while reasonably investigating suspected fraud or misuse.
Nothing in this provision restricts a consumer's lawful right to dispute a genuinely unauthorized or improper transaction.
25. Suspension & Termination
Golden Nuggets LLC may suspend or terminate an Account or Course access for material violations of these Terms, fraud, Account sharing, falsification of educational records, abusive conduct, unauthorized distribution of materials, security threats, or other substantial misuse of our Services.
Where appropriate and permitted by law, termination for a material violation may occur without refund.
Termination does not eliminate intellectual-property restrictions applicable to Content previously accessed.
26. Third-Party Platforms & Services
Golden Nuggets LLC may use third-party learning management systems, payment processors, video-hosting services, Website hosts, analytics providers, email providers, continuing education reporting platforms, and other technology providers.
We do not control the continuous operation or availability of third-party systems.
Temporary outages, maintenance, internet disruptions, browser incompatibilities, platform changes, or other technical interruptions may occasionally affect Course access or Services.
When reasonably necessary, Golden Nuggets LLC may modify Course delivery methods, hosting platforms, instructional formats, instructors, materials, or technological features to maintain Course availability, regulatory compliance, security, accessibility, or educational quality.
27. Links to Third-Party Websites
Our Websites or Courses may contain links to third-party websites or resources.
Unless expressly stated otherwise, Golden Nuggets LLC does not control those websites and is not responsible for their content, security, privacy practices, availability, products, or services.
Providing a third-party link does not necessarily constitute an endorsement of the third party or its products or services.
28. Course Updates, Regulatory Changes & Retired Courses
Continuing education requirements and professional standards change over time.
Golden Nuggets LLC may revise, update, replace, discontinue, or retire Courses or Course materials when reasonably necessary because of:
Changes in professional standards
Licensing or regulatory changes
Expiration or modification of Course approvals
Changes in approval-body requirements
Technological changes
Instructor or Content updates
Educational-quality improvements
A Course's approval status is determined according to the applicable approval period and the rules of the relevant licensing or credentialing organization.
Students remain responsible for completing Courses within applicable licensing deadlines and any stated Course-access period.
29. Records & Verification
Golden Nuggets LLC may retain educational and administrative records as required by applicable law, licensing boards, approval organizations, accreditation or credentialing requirements, our Privacy Policy, or legitimate business purposes.
Records may include enrollment information, completion dates, assessment results, certificates, Course activity, continuing education hours, license information, and reporting records.
Where permitted or required by law, Golden Nuggets LLC may verify completion records with licensing boards, credentialing organizations, auditors, reporting services, or other authorized entities.
30. Privacy & Personal Information
Our collection, use, storage, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.
Information may be processed as reasonably necessary to:
Create and administer Accounts
Provide Courses and educational Services
Process transactions
Issue certificates
Verify Course completion
Report continuing education credits when applicable
Provide customer support
Maintain security and prevent fraud
Meet legal, licensing, credentialing, and regulatory requirements
Communicate with users as permitted by applicable law

Professional competency solely from Course completion
License issuance or renewal
Acceptance of credits by every licensing authority

Continuous or uninterrupted availability of third-party technology
Continued Course approval after licensing or regulatory requirements change
Nothing in these Terms excludes warranties or consumer rights that cannot legally be waived.
33. Limitation of Liability
To the fullest extent permitted by applicable law, Golden Nuggets LLC shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use our Courses, Websites, Content, or third-party platforms.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
34. Commercially Reasonable Efforts
Golden Nuggets LLC will use commercially reasonable efforts to provide educational Content, Course access, certificates, reporting services where offered, and customer support.
You acknowledge that licensing boards, credentialing organizations, reporting services, laws, regulations, technology platforms, and educational requirements may change independently of Golden Nuggets LLC.
35. Informal Dispute Resolution
Before initiating arbitration or other formal legal proceedings, you agree, to the extent permitted by applicable law, to provide Golden Nuggets LLC written notice describing the dispute and requested resolution.

The parties agree to make good-faith efforts to resolve the dispute informally for at least 60 days before initiating arbitration, unless applicable law requires otherwise.
Possible resolutions may include technical assistance, accessibility accommodations, Course corrections, alternative access, extended access, refunds or credits where appropriate, or other mutually agreeable solutions.
36. Arbitration & Individual Claims
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS LEGAL RIGHTS.
To the extent permitted by applicable law, disputes between you and Golden Nuggets LLC that cannot be resolved through the informal dispute process shall be resolved through binding individual arbitration rather than a jury trial.
To the extent permitted by law, claims shall be brought on an individual basis and not as a class, collective, consolidated, mass, or representative action.
This arbitration provision shall be governed by applicable federal law, including the Federal Arbitration Act, where applicable.
Any arbitration shall take place in Montrose County, Colorado, or, if Golden Nuggets LLC’s principal place of business is subsequently relocated, in the county and state in which Golden Nuggets LLC maintains its principal place of business at the time the proceeding is commenced, except where applicable law requires otherwise.
To the extent that any dispute, claim, proceeding, or portion thereof is determined not to be subject to arbitration, any legal proceeding shall be brought exclusively in a state or federal court of competent jurisdiction located in Montrose County, Colorado, or, if Golden Nuggets LLC’s principal place of business is subsequently relocated, in the county and state in which Golden Nuggets LLC maintains its principal place of business at the time the proceeding is commenced, except where applicable law requires otherwise.
If a court determines that arbitration cannot lawfully be required for a particular claim or remedy, that determination shall apply only to the affected claim or remedy to the extent required by law.
37. Governing Law
Except where federal law applies or another jurisdiction's law must apply and cannot lawfully be waived, these Terms and the relationship between you and Golden Nuggets LLC shall be governed by the laws of the State of Colorado, without regard to conflict-of-law principles.
For disputes that are not subject to arbitration, venue and jurisdiction shall be determined in accordance with applicable law.
38. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the provision shall be enforced to the maximum extent permitted by law or severed where necessary.
The remaining provisions shall continue in effect.
39. No Waiver
Failure by Golden Nuggets LLC to exercise or enforce a right or provision of these Terms on one occasion does not constitute a waiver of that right or provision on another occasion.
40. Third-Party Rights
Except where expressly stated otherwise, these Terms do not create contractual rights for third parties.
The agreement created by these Terms is between the User and Golden Nuggets LLC.
41. Entire Agreement
These Terms, together with our Privacy Policy and any applicable Course-specific policies or terms expressly incorporated by reference, constitute the agreement governing your use of the applicable Services.
If Course-specific terms apply to a particular product, those terms will supplement these Terms. In the event of a direct conflict, the more specific terms will control with respect to that Course or Service to the extent permitted by law.
42. Changes to These Terms
Golden Nuggets LLC may update these Terms periodically to reflect changes in our Services, technology, business operations, regulatory requirements, or applicable law.
The current effective date will appear at the top of these Terms.
Changes will apply prospectively except where otherwise required or permitted by applicable law.
Continued use of our Services after revised Terms become effective constitutes acceptance of the revised Terms where permitted by law.
